Please read these Terms of Service ("Terms") carefully before using TallyArc (the "Service") operated by TallyArc, Inc. ("we", "us", or "our"). By accessing or using the Service you agree to be bound by these Terms.
By creating an account or using any part of the Service, you confirm that you are at least 18 years old, have read and understood these Terms, and agree to be bound by them. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
TallyArc is a cloud-based accounting and invoicing platform that allows businesses to create and send invoices, collect payments, manage clients, and connect with third-party ERP and data systems. Features may change over time; we will notify you of material changes.
You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at security@tallyarc.io if you suspect unauthorised access.
TallyArc offers paid subscription plans. By selecting a paid plan you authorise us to charge the applicable fees to your payment method on a recurring basis. All fees are non-refundable except where required by law. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of all data you upload to the Service. You grant us a limited licence to store and process that data solely to provide the Service.
The Service and its original content, features, and functionality are and will remain the exclusive property of TallyArc, Inc. and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
The Service may integrate with third-party services (e.g. payment processors, ERP systems, data warehouses). These integrations are provided for convenience. We are not responsible for the availability, accuracy, or practices of third-party services, and your use of them is governed by their respective terms.
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses.
To the maximum extent permitted by applicable law, TallyArc, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service. Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.
You agree to defend, indemnify, and hold harmless TallyArc, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service or violation of these Terms.
We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. You may cancel your account at any time from within the Service. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination before permanent deletion, unless we are required by law to retain it longer.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes shall be resolved exclusively in the courts located in Delaware.
We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or a prominent notice in the Service. Continued use after the effective date constitutes acceptance of the updated Terms.
